Terms of Service

The terms and conditions governing your use of GuardWise.

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the GuardWise platform, website, and related services (collectively, the "Service") provided by GuardWise Ltd ("GuardWise", "we", "us", "our"), a company registered in England and Wales.

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Account registration

To use the Service, you must register for an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old to create an account. Each user must have their own individual account - sharing login credentials is not permitted.

3. Subscriptions and billing

GuardWise offers a free plan and paid subscription plans. Paid plans are billed monthly or annually, as selected at the time of purchase. All prices are in British Pounds (GBP) and are exclusive of VAT where applicable.

Paid subscriptions include a 14-day free trial. You will not be charged until the trial period ends. You may cancel at any time during the trial without being charged.

Payment is processed securely via Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel.

4. Cancellation and refunds

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period.
  • Your account will revert to the Free plan at the end of the billing period.
  • Your data will be retained and accessible under the Free plan's limitations.

We do not offer refunds for partial billing periods. If you believe you have been charged in error, please contact us at support@guardwise.co.uk.

5. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service in any way that violates applicable laws or regulations.
  • Attempt to gain unauthorised access to any part of the Service or its systems.
  • Upload malicious code, viruses, or harmful content.
  • Use the Service to store or transmit content that infringes the rights of others.
  • Resell, sublicense, or redistribute access to the Service without our written consent.
  • Use automated tools to scrape, crawl, or extract data from the Service.

6. Your data

You retain ownership of all data you upload or create within the Service ("Your Data"). We do not claim any ownership rights over Your Data.

You grant us a limited licence to host, store, and process Your Data solely for the purpose of providing the Service to you. We will not access, use, or share Your Data for any other purpose except as required by law.

You are responsible for ensuring that Your Data complies with applicable laws, including data protection regulations. Where Your Data includes personal data of third parties (such as employees), you are the data controller and we act as your data processor.

7. Data export and portability

You may export Your Data at any time using the export features available within the Service. If you cancel your account, we recommend exporting Your Data before your subscription ends.

Following account closure, we will retain Your Data for 90 days before permanent deletion, unless a longer retention period is required by law.

8. Service availability

We aim to provide a reliable and available Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We will make reasonable efforts to notify you in advance of planned maintenance that may affect availability.

9. Intellectual property

The Service, including its design, code, features, documentation, and branding, is owned by GuardWise Ltd and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

10. Limitation of liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind, whether express or implied.
  • We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
  • Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless GuardWise Ltd, its directors, employees, and agents from any claims, losses, or damages (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any applicable law.

12. Termination

We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law. We will provide reasonable notice where possible.

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
